Terms of Service

1. Service Description

ComplyShield is a multi-framework compliance platform for financial institutions, provided as a Software-as-a-Service (SaaS) by UP2DATE Software SRL ("Provider"). The Service includes ICT risk management, incident reporting, vendor oversight, compliance mapping, regulatory reporting, and related features as described on our website and documentation.

2. Account Responsibilities

By creating an account, you agree to:

  • - Provide accurate and complete registration information.
  • - Maintain the security of your account credentials and enable two-factor authentication as required.
  • - Notify us immediately of any unauthorised access to your account.
  • - Be responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

  • - Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • - Attempt to gain unauthorised access to any part of the Service, other accounts, or related systems.
  • - Interfere with or disrupt the Service or servers or networks connected to the Service.
  • - Reverse engineer, decompile, or disassemble any part of the Service.
  • - Resell, sublicense, or provide access to the Service to third parties without our written consent.

4. Data Ownership

You own your data. All compliance data, documents, configurations, and content you upload or create in ComplyShield remains your property. We do not claim any ownership rights over your data. You grant us a limited license to process your data solely for the purpose of providing and improving the Service. You may export or delete your data at any time.

5. Service Availability

We target 99.9% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance. We will make commercially reasonable efforts to minimise downtime and provide timely communication during unplanned outages.

6. Payment Terms

Fees are charged in advance on a monthly or annual basis as specified in your subscription agreement. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days written notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

7. Termination

Either party may terminate this agreement with 30 days written notice. Upon termination, we will provide a 30-day grace period during which you can export your data. After the grace period, all data will be permanently deleted. We may suspend or terminate your account immediately if you violate these Terms or engage in activity that threatens the security or integrity of the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Provider's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. The Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. For EU-based clients, the courts of Romania shall have exclusive jurisdiction. Alternative governing law arrangements may be agreed upon in writing for Enterprise clients.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
